FEES

There are two (2) types of fees that are charged at the time a participant successfully registers for a Member’s event.

1) The payment processing fee consisting of either a Credit Card fee (CC Fee) or Automated Clearing House fee (ACH Fee), which are a small percentage of the total payment amount charged by credit card or ACH transfer for each participant after a successful registration; and 2) a registration fee (Registration Fee) assessed when a participant completes a successful registration, regardless of payment type used.

Other features that may be used that incur an additional small fee (Other Fees) include Manual Participant Addition Fee, Pay Now Fee, Recurring Fee, and an Invoice Fee. These fees are only charged if the Member uses these optional features for an event.

If one of your payments is disputed by your participants to their payment institution, we automatically reverse the charge by debiting your bank account the initial registration amount, plus a fee (Dispute Fee).

If you win the dispute, we will credit your bank account the initial Registration Fee plus the Dispute Fee. If you lose the dispute, we do not credit your account anything, and we do not refund the added Dispute Fee or Registration Fee.

The CC Fee, ACH Fee, Registration Fee, Other Fee, and Dispute Fee will collectively be called “TSA Fees” for the purpose of this agreement.

Member agrees to pay the TSA Fees at the current rates shown in their account. CC and ACH Fees can be found when Member is logged in as the organization account owner, under “MY ACCOUNT” in the main menu, and on the “Accepted Payment Methods” page. Registration Fees, Other Fees and the Dispute Fees can be found when Member is logged in as the organization account owner, under “MY ACCOUNT” in the main menu, and on the “Team Sports Admin’s Fees” page unless otherwise agreed upon by both parties in a separate agreement.

TSA agrees to notify the Member in advance if any of their TSA Fees are set to change.

GENERAL PAYMENT TERMS

Our Services will commence on the date the first participant successfully registers for an event set up in Member’s account (the “Effective Date”) and will thereafter continue on the basis of successive billing periods (with the first day of each billing period being a “Billing Date”) until terminated by either party in accordance with this Agreement.

TSA Fees are automatically charged at the time of payment for each successful registration by participants, or if a Member manually adds a participant with a credit card on file to an event, and the remaining amount is deposited into Member’s bank account. If Member’s event is free, then TSA Fees will be automatically charged to the credit card on file on the first day of the following month for the previous month’s activity.

If Member manually adds a participant to an event with a payment type other than credit card (“Non Credit Card Payment”), TSA Fees will be automatically charged to the credit card on file the first day of the following month for the previous month’s activity. “Non credit card payments” include cash, check, scholarships, bypass payment, or other payment types.

If Member refunds the entire amount a participant paid, Member will be refunded the entire CC Fee amount that was charged for the initial credit card purchase. The Member will also be refunded half (50%) of the Registration Fee and Other Fee.

If Member partially refunds an amount to a participant, Member will be refunded the same percentage of the CC Fee amount that Member refunds to the participant (e.g. if Member refunds 75% to the participant, Member will also be refunded 75% of the CC Fee. We do not offer a refund of the Registration Fee and Other Fee for partial refunds.

Because of how our payment processor refunds charges, we can’t reverse the full refund amount without creating a separate charge to your account. In order to minimize these charges to your account and make reporting easier, we keep track of these differences and invoice you the total for the month on the first day of the following month. The breakdown of refunded fees for each individual refund are always available from within your TSA account for full transparency.

All Fees are quoted in U.S. Dollars and exclude all applicable sales, use, and other taxes and government charges, whether federal, state or foreign, and Member will be responsible for payment of all such taxes (other than taxes based on TSA’s income), fees, duties, and charges, and any related penalties and interest, arising from the payment of any and all fees under this Agreement.

Without limiting any of TSA’s rights hereunder, should any TSA Fee payment become delinquent or not be retrievable from Member’s credit card when due, TSA may suspend or cancel the Services; however charges may continue to accrue in accordance with the Term of this Agreement and price of Services. Additionally, TSA may bill an additional charge to reinstate a suspended Customer account. Member acknowledges and agrees that TSA is not responsible whatsoever for any effect the suspension of Services might have on the Services or the results or effectiveness thereof. If TSA provides any Service discount to Member and Member defaults on its payments or obligations as outlined herein, TSA may rescind all discounts and require full payment for the Services. TSA reserves the right to refer any amounts owed hereunder to a third party for collection in the event of ongoing default. On any amounts not paid when due, Member agrees to pay interest at the rate of 2% per month (24% per year) or, if such rate is in excess of the rate allowed by law, then Member agrees to pay the highest rate allowed by law. In addition, Member agrees to pay all costs of collection, including costs of litigation and reasonable attorneys’ fees. TSA may also continue to submit charges on Member’s credit card from time to time until all fees due are paid.

Member understands and agrees that all TSA Fees and charges are nonrefundable unless otherwise specified in this agreement, and that TSA may change any fee, rate or plan at any time upon notice to customer in accordance with this agreement.

Additionally, Member permanently and irrevocably waives any and all right to enact a ‘chargeback’ (that is, a disputed, reversed or contested charge with the applicable bank, credit card or charge card) against these payments for any reason whatsoever against TSA.

PAYMENT PROCESSING SERVICES

Payment processing services for Member using TSA are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to this ToS Agreement, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of being a Member on TSA enabling payment processing services through Stripe, you agree to provide TSA accurate and complete information about you and your business, and you authorize TSA to share it and transaction information related to your use of the payment processing services provided by Stripe.
